NOORAI™ Platform – Global User Agreement

Effective Date: September 30, 2025

This User Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and NOORAI LLC, a Delaware limited liability company ("NOORAI LLC," "we," "us," or "our"), Its registered office in the State of Delaware is located at 16192 Coastal Highway, Lewes, Delaware 19958, County of Sussex. together with its operating affiliate NOORAI LIMITED, a company registered in Abu Dhabi Global Market License Number 23032, United Arab Emirates ("NOORAI LIMITED"). NOORAI LIMITED acts solely as an operating arm and service provider of NOORAI LLC. Collectively referred to as "NOORAI."

By clicking "I Agree," checking a consent box, or otherwise electronically accepting this Agreement, or by accessing or using the NOORAI website, applications, APIs, data services, or related offerings (collectively, the "Platform"), you acknowledge that you have read, understood, and agreed to:

1. Definitions

Service: Any paid subscription, SaaS solution, or data and analytics product offered on the Platform.

License: A valid license granted by NOORAI LLC to access one or more Services, which may include multi-user licenses covering named individual Users under one Licensee.

Licensee: The organization, company, or individual that holds a License. A Licensee may include multiple named Users.

User: An individual authorized under a valid License to access the Services. Each User must be a natural person and at least eighteen (18) years old.

Content: All information, data, analytics, software, and materials available through the Platform, including Forecasting Outputs.

Downloaded Content: Limited portions of Content a User may print or download as expressly permitted for internal use.

2. Scope of Agreement

This Agreement governs your access to and use of the Platform globally, regardless of location. It supersedes any conflicting or additional terms proposed.

3. License Grant and Multi-User Licensing

NOORAI grants Licensees a nonexclusive, nontransferable, limited license to access and use the Services and Content solely for internal business or professional purposes. Multi-user licenses allow multiple named Users under one Licensee, provided each User is specifically registered. User rights automatically terminate when employment or authorization ends. User access cannot be shared or transferred except in strict compliance with NOORAI's transfer policy.

You remain the owner of your User Content. You grant NOORAI a limited license to host, process, and use it for providing the Services. You represent and warrant you have the rights to upload User Content.

6. No Professional Advice; Informational Purposes Only

The Platform provides general informational and analytical outputs only, including forecasts, predictive analytics, and "what-if" or scenario-planning simulations (collectively, "Forecasting Outputs"). Forecasting Outputs are for informational purposes only and do not constitute investment, financial, legal, or other professional advice. They may contain inaccuracies or be affected by future events beyond NOORAI's control. You must not rely on Forecasting Outputs as the sole or primary basis for any decision.

7. Intellectual Property and Restrictions

All Services, Content, and related intellectual property are the exclusive property of NOORAI LLC and its affiliates. You receive no ownership rights. You agree not to reproduce, distribute, reverse engineer, scrape, or create derivative works, except as expressly permitted for limited internal use. All proprietary notices must be preserved.

8. Confidentiality and Data-Use Restrictions

All Platform non-public data, algorithms, and Forecasting Outputs constitute confidential information. You shall not disclose or redistribute such information outside your organization without NOORAI's prior written consent. Upon termination, you must return or destroy all confidential information.

9. User Registration and Security

Each User must register with accurate information and maintain the confidentiality of login credentials. You are responsible for all activity under your account and must promptly report any unauthorized use or breach of security.

10. Fees and Payment

Use of paid Services requires timely payment of all applicable fees under your License. NOORAI reserves the right to suspend or terminate access for non-payment. Subscription fees and billing rules are defined in the Pricing Terms & Subscription Conditions. All payments are processed by Stripe; NOORAI does not store credit card details.

11. Audit and Monitoring

NOORAI may audit and monitor use of the Services to ensure compliance with this Agreement and applicable law. We may use technical measures to prevent or investigate unauthorized access or use.

12. Limitation of Liability

To the fullest extent permitted by law, NOORAI and its affiliates shall not be liable for indirect, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, data, or business opportunities. Total liability for all claims shall not exceed the greater of USD 100 or the fees paid in the preceding twelve (12) months. These limits do not apply to liability from:

You shall defend, indemnify, and hold harmless NOORAI, its affiliates, and their officers, directors, employees, and agents from all claims and expenses arising from your use of the Platform, your breach of this Agreement, or your violation of law.

14. Data Privacy & ADGM Compliance

NOORAI complies with ADGM Data Protection Regulations and applicable privacy laws. By using the Platform, you consent to data processing and cross-border transfers necessary to provide the Services. You may exercise rights of access, correction, and erasure as described in our Privacy Policy.

15. Suspension and Termination

NOORAI may suspend or terminate your access immediately if you breach this Agreement, fail to pay fees, or engage in prohibited use. Upon termination, all rights granted to you cease and you must delete all Downloaded Content and confidential information.

16. Export Control and Compliance

You represent and warrant that you are not located in a country subject to U.S. sanctions and are not on any U.S. restricted party list. You agree to comply with all applicable export control and trade sanctions laws.

17. Governing Law and Dispute Resolution

This Agreement, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it, shall be governed by and construed in accordance with the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles.

If, and solely to the extent that, Delaware law is determined by a competent tribunal not to govern a particular claim, the laws of the Abu Dhabi Global Market (ADGM), United Arab Emirates, shall apply.

All disputes shall be finally settled by confidential and binding arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC).

The seat (legal place) of arbitration shall be, at NOORAI's sole election, either Wilmington, Delaware, U.S.A., or Abu Dhabi Global Market, United Arab Emirates.

The arbitration shall be conducted in English, and the arbitral award shall be final and binding on the parties and enforceable in any court of competent jurisdiction. For individual consumers domiciled in the United States, and only if required by applicable consumer-protection law, disputes may instead be administered under the American Arbitration Association (AAA) Consumer Arbitration Rules, with NOORAI's consent. To the fullest extent permitted by law, you waive jury trials and class actions.

18. Electronic Communications

By using the Platform, you consent to receive all notices and communications electronically, which satisfy any legal requirement for written communications.

19. Force Majeure

NOORAI is not liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of government, or internet outages.

20. Miscellaneous

This Agreement (including the Privacy Policy, Pricing Terms & conditions and any applicable Service Order) constitutes the entire agreement between you and NOORAI. If any provision is found invalid, the remainder remains enforceable. NOORAI may assign this Agreement without restriction; you may not assign it without NOORAI's written consent.

We may update this Agreement. Continued use of the Platform after updates means you accept the revised terms.
